User Agreement

1. Acceptance of Terms

By creating an account or using the Service, you:

• Confirm that you are 18 years or older

• Agree to comply with this Agreement and our Privacy Policy and Terms and Conditions

• Confirm that you are authorized to act on behalf of the business or organization you represent (if applicable)

2. Account Registration

You must register for an account to access the Service. You agree to:

• Provide accurate, current, and complete information during registration

• Keep your login credentials secure and confidential

• Accept responsibility for all activities that occur under your account

• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if false or misleading information is provided.

3. Use of the Service

You are granted a non-exclusive, non-transferable, and revocable license to use our ERP software solely for your internal business operations.

You may not:

• Reverse engineer, copy, or attempt to extract the software’s source code

• Use the Service for illegal, harmful, or fraudulent purposes

• Resell, sublicense, or share your access with unauthorised third parties

• Violate Nigerian laws or applicable international regulations

4. Fees and Billing

Use of the Service may require a paid subscription. You agree to:

• Pay all applicable fees based on your selected plan

• Keep your billing information accurate and up to date

• Acknowledge that payments are non-refundable, except as expressly stated in our Refund Policy

Failure to pay may result in the suspension or termination of your access.

5. Intellectual Property Rights

All software, content, logos, and branding on the platform are the exclusive intellectual property of Pluxmedia Network. You may not copy, distribute, or create derivative works without our prior written permission.

6. Data Ownership

You retain ownership of all business and personal data you upload to the platform. We will not sell, rent, or share your data without your consent, except where required by law.

We will take all reasonable technical and administrative measures to protect your data in line with the Nigerian Data Protection Regulation (NDPR).

7. Software Updates

We may deploy updates, improvements, and patches to the Service periodically. These updates are designed to enhance security, performance, and features, and may occur without prior notice.

8. Suspension and Termination

We may suspend or terminate your access to the Service:

• If you breach this Agreement or fail to pay

• If required by law or regulatory order

• Upon reasonable notice, at our discretion, for operational or security reasons

You may terminate your account at any time by notifying our support team.

9. Disclaimer of Warranties

We provide the Service “as is” and “as available,” without warranties of any kind—express or implied—including warranties of merchantability, fitness for a particular purpose, or uninterrupted access.

10. Limitation of Liability

To the fullest extent permitted under Nigerian law, we will not be liable for:

• Any indirect or consequential damages

• Business interruption, data loss, or loss of profits

• Issues arising from unauthorized access to your account

Our total liability for any claim shall not exceed the amount paid by you in the last 12 months.

11. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any legal action shall be filed in a court of competent jurisdiction within Nigeria.

12. Amendments

We may update this Agreement from time to time. Updates will be posted on our website and sent to you via email. Continued use of the Service constitutes your acceptance of the revised terms.
